شرکت با هدف ویژه، یک شرکت تابعه است که شرکت مادر برای مصون ماندن از ریسک مالی ایجاد میکند. به آن نهاد با هدف ویژه نیز میگویند.
وضعیت حقوقی این شرکت بهعنوان شرکتی مجزا باعث میشود که حتی در صورت ورشکستگی شرکت مادر، تعهدات آن محفوظ بماند. بههمین دلیل، به شرکت با هدف ویژه بهعنوان یک نهاد دور از ورشکستگی اشاره میشود.
همانطور که در رسوایی شرکت انرون در سال 2001 مشاهده شد، این شرکتها میتوانند در صورت سوءاستفاده از راههای گریز حسابداری برای پنهان کردن بدهی شرکت، به یک روش مخرب مالی تبدیل شوند.
Special Purpose Vehicle (SPV)
A special purpose vehicle is a subsidiary created by a parent company to isolate financial risk. It’s also called a special purpose entity (SPE).
Its legal status as a separate company makes its obligations secure even if the parent company goes bankrupt. A special purpose vehicle is sometimes referred to as a bankruptcy-remote entity for this reason.
These vehicles can become a financially devastating way to hide company debt if accounting loopholes are exploited, as seen in the 2001 Enron scandal.
