فرم G13
فرم G13، فرم جایگزین فرم 13D کمیسیون بورس و اوراق بهادار است و برای گزارش مالکیت سهام طرفی استفاده میشود که بیشاز 5 درصد کل سهام منتشر شده شرکت را دارد. فرم G13 نسخه کوتاهتری از فرم 13D با الزامات گزارشگری کمتر است. فرم G13 را میتوان بهجای فرم 13D بورس اوراق بهادار ثبت کرد، تا زمانیکه ثبتکننده از یکی از چند معافیت برخوردار باشد.
به هر دو فرم 13D و G13 بهعنوان "گزارشهای مالکیت ذینفع" اشاره میشود. براساس کمیسیون بورس و اوراق بهادار، مالک ذینفع کسی است که بهطور مستقیم یا غیرمستقیم دارای قدرت رایدهی سهام یا سرمایهگذاری باشد.
Schedule 13G
The Securities and Exchange Commission (SEC) Schedule 13G form is an alternative filing for the Schedule 13D form and is used to report a party's ownership of stock which exceeds 5% of a company's total stock issue. Schedule 13G is a shorter version of Schedule 13D with fewer reporting requirements. Schedule 13G can be filed in lieu of the SEC Schedule 13D form as long as the filer meets one of several exemptions.
Both Schedule 13D and Schedule 13G forms are referred to as "beneficial ownership reports." According to the SEC, a beneficial owner is anyone who directly or indirectly shares voting power or investment power.
