ادغام و تملک (M&A)
ادغام و تملک، اصطلاحی برای اشاره به تلفیق شرکتها یا داراییهای تجاری عمده آنها از طریق تراکنشهای مالی بین شرکتها است. یک شرکت ممکن است شرکت دیگر را بهطور کامل خریداری و جذب کند، با آن ادغام شود تا شرکت جدیدی ایجاد کند، بعضی یا تمام داراییهای عمده آن را خریداری کند، برای سهام آن پیشنهاد مناقصه ارائه دهد یا مالکیت آن را قبضه کند. تمام این فعالیتها ادغام و تملک است.
اصطلاح ادغام و تملک برای توصیف بخشهای موسسههای مالی که با چنین فعالیتهایی سر و کار دارند، نیز بهکار میرود.
Mergers and Acquisitions (M&A)
The term mergers and acquisitions (M&A) refers to the consolidation of companies or their major business assets through financial transactions between companies. A company may purchase and absorb another company outright, merge with it to create a new company, acquire some or all of its major assets, make a tender offer for its stock, or stage a hostile takeover. All are M&A activities.
The term M&A also is used to describe the divisions of financial institutions that deal in such activity.
