ناجی، شرکتها یا اشخاصی – مانند بانکداران سرمایه گذاری، حسابداران، وکلا و متخصصان مالیاتی هستد – که به شرکتهای هدف (هدف تصاحب) کمک میکنند تا از تحت تسلط قرار گرفتن توسط یک خواستار ناخواسته جلوگیری کنند. کار آنها، ابداع و اجرای راهبردهای دفاعی ضد قبضه مالکیت (یک شرکت) است که به طور عموم شامل ایجاد جذابیت کمتر برای شرکت هدف، یا دشوارتر یا پرهزینه کردن تملک آن است.
Killer Bees
Killer bees are companies or individuals—such as investment bankers, accountants, attorneys, and tax specialists—that help target firms avoid being taken over by an unwanted suitor. Their job is to devise and implement anti-takeover defense strategies, which generally consist of making the target less attractive or more difficult or costly to acquire.
